Welcome to PayInvoice!

These Terms and Conditions ("Terms") explain the rules for using our website (www.taxgenie.in) and mobile/web applications (together, the "Platform") and the services we offer ("Services").

  • Who we are: PayInvoice (also referred to as "Regime Tax Solutions Pvt. Ltd.," "Company," "we," or "us") is a company that provides technology solutions related to Indian taxes.


  • Who you are: You're the user ("you" or "your") of the Platform and Services.


  • Our Services:
    • We offer software and access to services for Goods and Services Tax (GST) compliance. This includes software subscriptions like for PayInvoice products.
    • We also offer expert-assisted during implementation and other managed services post implementation.
    • We provide functionalities for “no paper” invoice central digitilization, easy retrivals, all necessary compliance checks, etc.
    • We offer invoice discounting and supply chain financing software products.
    • Some services are provided by our various partners.


  • Important Notes about these Terms:
    • These Terms may change, so please review them periodically.
    • Your continued use of the Platform after changes are made means you accept the changes.
    • If you have any questions, contact us at support@taxgenie.in.


  • Using the Platform:
    • You must be 18 years old or older to use the Platform.
    • Don't impersonate anyone or misrepresent yourself.
    • If you violate the Terms, we may suspend or ban you from using the Platform.


  • Our Services Provided by Partners:
    • The Platform allows you to connect with and use services offered by our partners and third-party service providers.
    • These services are separate from PayInvoice's services and may have their own terms and conditions.


  • About GST Suvidha Provider Services:
    • We(Taxgenie) are a GST Suvidha Provider (GSP) appointed by the Goods and Service Tax Network (GSTN).
    • This means we can provide access to GST APIs ("GSP Services") to taxpayers and third parties.
    • By using our Platform for GST services, you agree to the GSTN's terms and conditions.
    • You are responsible for following GSTN guidelines and ensuring your data complies with their requirements.


  • Our Limitations:
    • We don't guarantee that the Platform or Services will always be available or error-free.
    • We are not responsible for any delays or issues caused due technical problems.
    • We may have to change or discontinue Services at any time.


  • Your Responsibilities:
    • You are responsible for keeping your account information accurate and secure.
    • You are responsible for all activity that happens on your account.
    • You won't use the Platform or Services for any illegal or unauthorized activities.


  • Privacy:


  • Termination:
    • We may terminate your access to the Platform or Services for violating the Terms.
    • You can terminate your account at any time.


  • Disputes:
    • These Terms are governed by the laws of India.
    • Any disputes arising from these Terms will be resolved in courts located in Bangalore, India.

 

Invoice Discounting and Supply Chain Financing

  • PayInvoice Discounting connects businesses, suppliers, banks, and online marketplaces to offer supply chain financing solutions.


  • How it works:
    • Businesses(Supplier) submits approved invoices from their accounting software or PayInvoice Supplier Portal
    • Suppliers can then log in and choose which invoices they want to get paid for early.
    • PayInvoice uses AI and machine learning to suggest discount rates that work well for both businesses and suppliers.
    • Businesses can then decide how they want to pay the invoices early: using their own cash, bank funding, or through online marketplaces (TReDs).


  • Important to note:
    • Supply chain financing services, including invoice discounting, are provided by third-party companies that are licensed and approved to do so.
    • By using PayInvoice for these services, you agree to the terms and conditions of those third-party companies.
    • You are responsible for following the guidelines set by these companies and ensuring your data meets their requirements.
    • Investment advisory services, including buying direct plans of mutual funds, are offered by Right Horizons, a registered investment advisor with SEBI (INA200002601).
    • PayInvoice only acts as a technology provider for these services.
    • Any transactions related to investment advisory services are solely between you and Right Horizons.
    • By using the platform for investment advisory services, you agree to the "Additional Terms for Investment Advisory Services" (Clause 17).

2.8 Refunds

  • If you receive payments from customers using PayInvoice's payment request feature, both you and your customers acknowledge that the payment is for goods, products, or services already delivered or received.
  • PayInvoice and its partners are not responsible for the quality of goods, products, or services, or any disputes between you and your customers.
  • You are solely responsible for handling any claims or refunds related to your products or services.
  • PayInvoice will not be involved in providing refunds.

2.9 Changes to the Platform and Services

  • We reserve the right to add, modify, or discontinue the Platform or Services (or any part of them) at any time, with or without reason. We will not be liable for any such changes.

3. Sign-Up and Information Sharing

  • To use our services, you may need to provide some information, including:
    • Name, contact details (email, phone number)
    • PAN, bank account details, and other payment information (if applicable)
    • Business details (name, address, GST number, etc.) for business accounts
  • You agree to provide accurate and up-to-date information about yourself.
  • You are also responsible for keeping your account information current.
  • If you upload information about third parties, you must ensure they have consented to you sharing their information on the platform.
  • We may suspend or terminate your account if you provide false or outdated information.

4. Using the Platform

  • You agree to use the platform for lawful purposes only and are responsible for all activity that happens through your account.
  • Our payment processing is not a banking service. We simply act as a facilitator, providing an electronic payment option using existing banking infrastructure.
  • We strive to provide the Platform with minimal downtime. However, outages can occur due to various reasons beyond our control, such as internet service interruptions or issues with third-party vendors.
  • We may occasionally release updates or patches for the platform. These updates become part of the Platform and are subject to these Terms.
  • You agree not to misuse the platform by:
    • Uploading illegal or harmful content
    • Impersonating someone else
    • Violating anyone's intellectual property rights
    • Using the platform for spamming or other malicious activities
    • Interfering with the platform's functionality

Intellectual Property

  • The platform's design and content belong to us. You can't copy or modify it without permission.
  • We may provide summaries of publicly available news or link you to the original source.
  • You grant us permission to use your data (including personal information) to improve the platform, offer new services, and communicate with you.

Know Your Customer (KYC) Requirements

  • You agree to provide certain information (like PAN card details and others) to use the platform and its services. This information may be shared with partners and authorities.
  • You are responsible for ensuring the information you provide is accurate and up-to-date.

Communication

  • You agree to receive emails, SMS, or push notifications from us about the platform, services, promotions, and other relevant information.
  • We may send alerts to phone numbers you provide, but receiving them depends on your network and Do Not Disturb settings.
  • We are not liable for any issues with message delivery or the accuracy of information sent through alerts.

Third-Party Services

  • The platform may offer products and services from other companies. These services may have their own terms and conditions and privacy policies that you should be aware of.
  • We are not responsible for the accuracy, completeness, or any issues related to these third-party services.

Termination of Access

  • We may terminate your access to the platform for reasons like inactivity, fraud, or violation of these terms.

Warranties and Disclaimers

  • We are a technology provider and are not responsible for any claims or damages related to using the platform, including payments made through it.

 

Limited Liability and Disclaimers:

  • The platform and services are provided "as is" and "as available." They don't guarantee accuracy, security, or uninterrupted functionality.
  • You agree to hold the company harmless for any issues arising from using the platform, including incorrect information or errors.

Indemnification:

  • You agree to defend and reimburse the company for any losses or claims resulting from your violation of the terms, misuse of the platform, or harm caused to others.

Dispute Resolution:

  • Any disagreements will be settled through arbitration in New Delhi, India, according to Indian law.

Investment Risk:

  • Investments in securities involve market risks. You are advised to carefully read investment documents before making any decisions.

 

Term Updates and Termination:

  • The company can update the terms at any time. They can also terminate your access to the platform for reasons like inactivity or violation of the terms.

Data and Privacy:

  • You agree to receive communication from the company about the platform, services, promotions, and other relevant information.
  • The company may share your data (including personal information) with partners and authorities as required by law.
  • You are responsible for keeping your information on the platform accurate and up-to-date.

  • Fees may apply for using the platform and its services.
  • The company reserves the right to suspend or terminate services for reasons beyond their control (force majeure).
